Terms of Service

By downloading, installing, or using CuePilot ("the Software"), you agree to be bound by these Terms of Service and End-User License Agreement ("Agreement"). If you do not agree, do not use the Software.

This Agreement is between you ("User") and Sp3kTr4L AG ("Licensor"), a company registered in Switzerland.

CuePilot is licensed, not sold. Sp3kTr4L AG grants you a limited, non-exclusive, non-transferable, revocable license to use the Software subject to the terms of this Agreement and the license type you have purchased.

A "machine" refers to a single physical or virtual computer on which the Software is activated. Activations are tracked via a hashed machine identifier.

CuePilot offers a 14-day free trial limited to 1 machine. The trial provides full access to all features. After the trial period expires, you must purchase a license to continue using the Software.

You shall not, and shall not attempt to:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
• Modify, patch, or tamper with the Software's license validation mechanisms
• Circumvent, disable, or interfere with machine activation limits
• Forge, alter, or manipulate license keys, activation data, or the license.dat file
• Share, redistribute, or publish license keys
• Use automated tools to bypass trial or license restrictions

Any tampering with the licensing system will result in immediate and permanent revocation of your license without refund.

All payments are processed by Lemon Squeezy LLC ("LemonSqueezy"), which acts as the Merchant of Record for all CuePilot purchases. LemonSqueezy handles:

• Payment processing and billing
• Subscription management (renewals, cancellations)
• Refund requests and processing
• Sales tax, VAT, and applicable tax collection

Refund requests are subject to LemonSqueezy's refund policy. For billing inquiries, contact LemonSqueezy directly through your order confirmation email or visit lemonsqueezy.com.

Subscriptions (Monthly and Annual) automatically renew at the end of each billing period unless cancelled before the renewal date. Upon cancellation, your license remains active until the end of the current paid period.

If a subscription payment fails, your license will be deactivated after a grace period. You may reactivate by updating your payment method through LemonSqueezy.

The Perpetual license grants the right to use the version of CuePilot current at the time of purchase, plus all updates released within 1 year of your purchase date. After the update period expires, the Software continues to function but will no longer receive new updates unless you purchase an update extension.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Sp3kTr4L AG does not warrant that the Software will be uninterrupted, error-free, or free of harmful components. Use of the Software in live event, broadcast, or critical environments is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Sp3kTr4L AG, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SOFTWARE.

Sp3kTr4L AG's total aggregate liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

This Agreement is effective until terminated. Sp3kTr4L AG may terminate your license immediately if you breach any term of this Agreement, including but not limited to the anti-tampering provisions in Section 5.

Upon termination, you must cease all use of the Software and delete all copies from your devices.

This Agreement shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of Switzerland.

Sp3kTr4L AG reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Software after changes constitutes acceptance of the revised terms.
